1. Acceptance of Terms

Welcome to Rudci. By engaging with our services, purchasing a package, or signing a retainer, you agree to the following Terms & Conditions. Please read them carefully, as they outline your rights, obligations, and limitations when working with us.


2. Scope of Services

Rudci provides professional digital development services, including but not limited to:

  • Website design and development (Shopify, WordPress, Webflow, Framer, and other platforms).

  • E-commerce solutions, integrations, and store management systems.

  • Business software setup and customization (including Odoo and related tools).

  • Ongoing support and maintenance under retainer agreements.

  • All deliverables are explicitly defined in the selected package, proposal, or retainer agreement. Any request outside the agreed scope is considered additional work and will be quoted separately.

  • Rudci reserves the right to refuse requests that:

    • Fall outside our technical expertise or service offerings.

    • Contradict agreed project scope.

    • Violate our policies, ethical standards, or applicable laws.


3. Payments


  • 50% of the total fee is due upfront to begin work.

  • The remaining 50% is due upon project completion and client approval.

  • 25% of the total fee is non-refundable to cover setup, planning, and operational costs.

  • Final delivery (files, code, access) will only be provided after full payment is received.

  • Retainer fees are billed in advance (monthly, quarterly, or annually) and are non-refundable.

  • All proposals and quotations issued by Rudci are valid for 30 days from the date of issuance, unless expressly stated otherwise in writing. Upon expiry, Rudci may revise pricing, timelines, and deliverables without obligation to honor the original terms.

  • Late payments may result in project suspension or delivery delays.


4. Client Responsibilities


  • Provide all required information, content, and assets within agreed timelines.

  • Assign a single point of contact for communication.

  • Ensure that all provided materials (logos, images, content, etc.) are legally owned or licensed.

  • Communicate through Rudci’s approved channels (WhatsApp, Notion, email).

Failure to provide timely responses or assets may result in project delays for which Rudci is not responsible.


5. Delivery & Timelines


  • Project timelines are estimates and depend on client responsiveness.

  • Rudci is not liable for delays caused by late feedback, incomplete requirements, or third-party providers (e.g., payments gateways, domains, plugins, shipping companies).

  • Deliverables will be considered approved if no feedback is received within 5 business days of delivery.


6. Ownership


  • Once full payment is received, all final deliverables — including code, design files, and access credentials — become the client’s property.

  • Rudci retains ownership of proprietary tools, libraries, or processes used in development.


7. Cancellations & Refunds


  • Clients may cancel a project at any time with written notice.

  • Refunds (if applicable) will be calculated based on work completed, minus the non-refundable 25%.

  • If the client is unresponsive for more than 7 business days, Rudci may pause or terminate the project without liability.

  • Retainers are non-refundable once the service period begins.


8. Confidentiality


  • Rudci will keep all client information, assets, and project details strictly confidential.

  • Clients agree not to disclose Rudci’s pricing, processes, or internal documentation to third parties.


9. Limitation of Liability


  • Rudci is not liable for losses, damages, or downtime caused by third-party platforms, plugins, or providers (eg. Payment & Shipping Companies).

  • Rudci is not responsible for ongoing maintenance, updates, or security unless under a retainer agreement.

  • In no event shall Rudci’s liability exceed the total fees paid by the client.


10. Friendly Credit


  • Rudci may include a small “Developed by Rudci” credit link in the footer of completed websites.

  • Clients may request removal of this credit at no extra cost.


11. Governing Law


  • These Terms are governed by the laws of Egypt.

  • Any disputes shall be resolved through arbitration in Egypt, unless otherwise required by law.
